1. All work shall be in accordance with the Specification, Drawings and the current Griffith University Design Guidelines and any other details supplied at the time of quoting or subsequently issued and shall be to the complete satisfaction of the Superintendent.
  2. The Superintendent is the Deputy Director, Campus Life who may nominate a Representative.
  3. The Principal is Griffith University.
  4. The Contractor shall visit the Site and fully inform themselves as to existing conditions, particularly health and safety aspects, before quoting.
  5. The whole of the work shall comply with all relevant Acts, Statutes, Regulations and By-laws and shall comply with the requirements of any council, local or other authority having jurisdiction. The contractor, contractor's employees, and sub-contractors will hold all relevant permits, licences or authorisations where required by legislation.
  6. The Contractor shall observe and comply with the requirements of all relevant and current sections of the Work Health and Safety Act (2011), Regulation, codes of practise and Australian Standards. The Contractor is appointed the Principal Contractor of the project within the meaning of the Work Health and Safety Act (2011), and as such must fulfil the obligations of the Principal Contractor. The Contractor must also comply with the Work Health and Safety Act (2011) clause of section 4 of the current edition of the Griffith University Design Guidelines.
  7. Where the contractor engages subcontractors it must ensure the subcontractors' employees are not harmed. The contractor is to ensure the health and safety of the contractor's employees, subcontractors, and other persons (not employees) who may be affected by the contractor's work.
  8. The Contract shall be a lump sum contract not subject to Rise and Fall.
  9. The Contractor shall be responsible for security and protection of the works and adjacent areas during construction. Griffith University employs a master key system and the contractor shall be liable for the cost of replacement of keys lost or not returned to the Principal. The contractor shall also be liable for the replacement of all lock barrels affected by the loss of keys.
  10. (a) There shall be a Defects Liability Period for the works for a period of 12 months from the Date of Practical Completion.
    (b) Any defects in the works which may appear at any time up to the expiration of the Defects Liability Period shall be rectified by the Contractor at their own cost immediately upon notification by the Superintendent.
    (c) In the case of the failure of the Contractor to rectify any defect, the Principal may apply the retention monies or any other monies then held for the purpose of rectifying such defects.
    (d) Should the retention monies or other monies be insufficient, the Principal may recover from the Contractor as a debt due from the Contractor to the Principal, the cost of rectifying defects in the works.
  11. Samples shall be provided before installation wherever called for in the Specification or requested by the Superintendent.
  12. The Contractor shall allow to attend other trades working on the job where applicable.
  13. The Contractor shall have in effect a Public Liability Policy for not less than $10 million indemnifying the University, the Contractor and all Sub-Contractors for the duration of the Contract. The Contractor shall produce evidence of the Public Liability Policy which shall note the interest of Griffith University, and Workers' Compensation Policy and give the policy number on the front of the Quotation. Personal accident and disability insurance for all on-site directors or partnerships will be maintained by the contractor and their sub-contractors.
  14. Progress payments will not normally be more frequent than monthly. Retention monies will be withheld at a rate of 10% to a maximum of 5% of the Contract price including any variations (excluding GST). Retention monies will be reduced to 2.5% at Practical Completion and remain at 2.5% for the Defects Liability Period. All retentions held will be released at Final Completion.
  15. The Contractor shall keep the Works clean and tidy as they proceed, and regularly remove from the site rubbish and surplus material arising from the execution of the Works. Upon completion of the Works, the Contractor shall remove all debris, plant and equipment as directed by the Superintendent. Failure to comply with this clause may result in forfeiture by the Contractor of all or part of retention monies held by the Principal.
  16. The Contractor shall observe and comply with the requirements of the Environmental Protection Act 1994 (Qld) and associated subordinate legislation. The Contractor shall report to the Superintendent, all incidents of Serious Environmental Harm or Material Environmental Harm that occur as a result of the Contractor's work.
  17. The University's normal parking rules apply and infringements carry fines from $10.00 to $200.00.
  18. All invoices/progress claims shall include the GST component shown as a separate item. The Contractor's ABN must be included on the quotation form.
  19. The Contractor shall not park plant, vehicles and materials in the natural bush or off constructed roadways. Fires shall not be lit anywhere without the written permission of the Superintendent. Concrete trucks shall not be washed out in the bush. A penalty of $500.00 per tree applies to any damaged portion of the site. Refer to sections 3 & 4 - Griffith University Design Guidelines.
  20. The Contractor shall perform all variations to the works as required by the Superintendent, but shall not be entitled to claim payment for any variation not authorised in writing. The price of any variation shall be as agreed and shall be added to or deducted from the Contract Sum. Should there be no agreement upon a price, the Superintendent shall determine a reasonable price.
  21. The Contractor shall supply operating and maintenance manuals for all equipment installed under the Contract. As installed drawings shall be supplied where called for in the specification.
  22. Title to and intellectual property rights in all new contract material will vest in the Principal without the need for further payment.
  23. Griffith University may suspend or terminate this contract if it believes the contractor has failed, or is failing to establish and maintain legally required health and safety standards and procedures. During the period of any suspension, progress payments or other payments due under the contract will be void and shall only be made when the health and safety requirements are met. If contracts are terminated for health and safety breaches, only those contract payments due for work competed up to the date of termination shall be made.
  24. The contractor must indemnify Griffith University against loss or damage to property, including existing property on or around the construction site, and claims against Griffith University in respect of personal injury or death or loss or damage to any property, arising out of, or as a consequence of, the carrying out of the works by the contractor.
  25. The contractor must ensure that any persons employed or sub-contracted by the contractor to perform services do not use or supply or communicate confidential information provided to or obtained by the contractor, their employees and sub-contractors in connection with the contract or during the performance of the services, to any other person for the purpose other than the performance of the services in accordance with the contract, without the Principal's prior written approval.

For the purposes of this contract, 'confidential information' means any information emanating from the Principal in any form, and not in the public domain. It includes, but is not limited to, trade secrets, secret or confidential information, formulas, processes, dealings, know-how, designs, plans, documents, papers, drawings, business or financial information and research data, equipment or affairs of the Principal.
